1. Agreement

By using our website or engaging our services, you agree to these Terms. If you are entering into an agreement on behalf of an entity, you represent that you have authority to bind that entity.

Samtera provides marketing and software development services as described in statements of work, proposals, or order forms agreed by the parties.

3. Client Obligations

• Provide accurate information, timely feedback, and approvals.
• Obtain necessary rights/permissions for materials you supply.
• Use deliverables in compliance with applicable law.

4. Fees & Payment

Fees, billing schedules, and expenses are specified in the applicable order. Unless otherwise stated, invoices are due upon receipt. Late payments may accrue interest as allowed by law.

5. Intellectual Property

Unless otherwise agreed, Samtera retains ownership of pre-existing IP and tools. Upon full payment, you receive a license to use the final deliverables for your business purposes.

6. Confidentiality

Each party will protect the other’s confidential information and use it only for the purposes of the engagement.

7. Third-Party Services

Our work may integrate third-party platforms or libraries subject to their respective terms and policies.

8. Warranties & Disclaimers

Services are provided “as is.” We disclaim implied warranties to the maximum extent permitted by law.

9. Limitation of Liability

To the fullest extent permitted by law, Samtera is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability is limited to fees paid for the specific services at issue.

10. Indemnification

You agree to indemnify and hold Samtera harmless from claims arising from your materials or misuse of the services.

11. Termination

Either party may terminate for material breach if not cured within a reasonable period, or as otherwise agreed in the order.

12. Governing Law

These Terms are governed by the laws of Spain (EU), without regard to conflict-of-laws principles, unless the parties agree otherwise in writing.

13. Changes

We may update these Terms. Continued use of the site or services after changes take effect constitutes acceptance.
